Full Copyright Buyout Agreement

This Copyright Buyout Agreement (the "Agreement") is entered into as of (the "Effective Date") by and between:

Michael Vos (the "Photographer"), who is also the CEO of VMG Productions, with his principal place of business at , hereinafter referred to as the "Buyer";

and

Lauren Turton and Mar P (the "Models"), residing at Cabo San Lucas, hereinafter collectively referred to as the "Sellers".

RECITALS

WHEREAS, the Sellers have participated in a photo and/or video shoot (the "Shoot") conducted by the Buyer on 1/09/2025 at Posedions Cove; and

WHEREAS, the Sellers have agreed to sell and transfer all rights, title, and interest in the photos and videos resulting from the Shoot (the "Works") to the Buyer;

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Assignment of Copyright The Sellers hereby irrevocably assign, transfer, and convey to the Buyer all worldwide rights, title, and interest in and to the Works, including but not limited to all copyrights, moral rights, and other intellectual property rights, in perpetuity.

2. Waiver of Moral Rights To the extent permissible under applicable law, the Sellers waive any and all moral rights in the Works, including but not limited to the right of attribution and the right to object to any derogatory treatment of the Works.

3. Consideration In consideration for the transfer of rights under this Agreement, the Buyer agrees to compensate the Sellers as follows:

A one-time payment of Fifty Dollars ($50) each
Free food and drinks during the duration of the Shoot.

4. Rights for Social Media Use The Buyer grants the Sellers, Lauren Turnton and Mar P, the non-exclusive, royalty-free right to use the content created by Michael Vos from the Shoot on their personal social media platforms. This usage is limited to non-commercial purposes and must credit Michael Vos and VMG Productions when posted.

5. Representations and Warranties The Sellers represent and warrant that:

The Sellers are the sole and exclusive owners of the Works.
The Works do not infringe upon the intellectual property rights of any third party.
The Sellers have full authority to transfer the rights to the Works as outlined in this Agreement.

6. Confidentiality The Sellers agree to keep the terms of this Agreement confidential and not to disclose them to any third party without the prior written consent of the Buyer, except as required by law.

7. Governing Law This Agreement shall be governed by and construed in accordance with the laws of . Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts located in .

8. Entire Agreement This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, whether written or oral.

9. Severability If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

10. Execution This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Electronic or facsimile signatures shall be deemed as originals for purposes of executing this Agreement.
