VMG Non-complete Clause

Non-Compete Clause for Subcontracting Agreements

This Non-Compete Clause ("Clause") is entered into as part of the subcontracting agreement between VMG Productions ("Subcontractor") and ("Contracting Agency"), effective as of the date of execution of the agreement.

1. Non-Solicitation of Clients VMG Productions agrees that, during the term of the subcontracting agreement and for a period of following the termination of the agreement, VMG Productions will not directly or indirectly solicit, engage, or contract with any client introduced or assigned to VMG Productions by the Contracting Agency ("Referred Client") for services similar to those provided under the subcontracting agreement, except as authorized in writing by the Contracting Agency.

2. Definition of Referred Clients For the purpose of this Clause, "Referred Client" includes any business, organization, or individual that:

Is an active or prospective client of the Contracting Agency at the time of subcontracting; or
Was assigned to VMG Productions for the purposes of providing services under the subcontracting agreement.

3. Confidentiality of Client Information VMG Productions acknowledges that all client-related information shared by the Contracting Agency, including but not limited to client names, contact details, project scope, and business strategies, is confidential. VMG Productions will not use or disclose this information for any purpose other than fulfilling its obligations under the subcontracting agreement.

4. Exceptions The restrictions outlined in this Clause shall not apply in the following situations:

If the client independently seeks to engage VMG Productions without prior solicitation by VMG Productions.
If the Contracting Agency provides written consent allowing VMG Productions to engage with the client.

5. Remedies for Breach In the event of a breach of this Clause, VMG Productions agrees to:

Cease any engagement or communication with the Referred Client immediately.
Indemnify and hold harmless the Contracting Agency for any damages, losses, or legal expenses incurred as a result of the breach.

6. Governing Law This Clause shall be governed by and construed in accordance with the laws of .

7. Severability If any provision of this Clause is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

8. Acknowledgment By signing the subcontracting agreement, both parties acknowledge and agree to abide by the terms outlined in this Non-Compete Clause.
